Colonial banks Santa Hortensia value before completion in Madrid JV

A contribution schedule running from 2026 to 2028 lets Colonial book Santa Hortensia value before completion while Vita carries half the platform.

At a glance

  1. Seeded with three urban assets that total more than 990,000 square feet and, once all three are contributed, more than 2,200 beds, the portfolio is put at approximately €1 billion at stabilization, with contributions spread across 2026 to 2028.
  2. The order of contributions carries more weight than the headline number.
  3. Colonial's account of its own upside—that the venture lets it take part of Santa Hortensia's value ahead of completion while keeping long-term exposure through the joint venture—deserves a second read.

Colonial SFL and Vita Group have formed a 50-50 joint venture to run student housing and flex-living in Madrid, and Colonial says the structure lets it take part of Santa Hortensia's value before the building is finished while keeping long-term exposure through the platform. Seeded with three urban assets that total more than 990,000 square feet and, once all three are contributed, more than 2,200 beds, the portfolio is put at approximately €1 billion at stabilization, with contributions spread across 2026 to 2028.

The order of contributions carries more weight than the headline number. Vita Student Oria, which opened in September 2026, enters at inception; a second Oria asset, a 519-unit flex-living development, is expected to follow in 2027; and Santa Hortensia, Colonial's Alpha X urban transformation project, is expected to be contributed after its scheduled completion in 2028. Vita supplies the student housing operating platform and Colonial supplies urban transformation, development and asset management—one partner running the buildings, the other finding, funding and rebuilding them.

Colonial's account of its own upside—that the venture lets it take part of Santa Hortensia's value ahead of completion while keeping long-term exposure through the joint venture—deserves a second read. It is a developer banking development margin while delivery risk is still open, and paying for the privilege with half the operating business. The two unbuilt pieces, the 519-unit Oria development and the Santa Hortensia conversion, are being valued against a stabilization the portfolio has not reached.

The announcement does not say what either partner contributes for its half, so where the development profit lands is not knowable from the terms released. Three contributions on three dates mean three marks rather than one negotiated number, which suggests neither side wanted to price a whole platform that does not yet exist in finished form.

Alpha X is Colonial's transformation strategy, Santa Hortensia its showcase, and the company says it identified and pursued the conversion itself. Passing the asset into a joint venture once complete, against a stabilized value, is the monetization that strategy has been building toward.

If the Madrid student and flex-living bid holds through 2028, the structure gives Colonial the cheaper side of the trade, and other owners of half-built urban assets will look for the same shape rather than carry the last mile alone. Patient capital, as this publication has argued, is underwriting the 2028-29 supply gap; Colonial's patience stops at the delivery date.
