Dell-backed $7.7 billion Baldwin buyout draws lawyer probes

At least five firms have announced inquiries into the $32.50-a-share take-private; Kaskela cites analyst targets at or above $36.

At a glance

  1. The buyer is backed by Michael Dell's family office, and the seller is the Tampa-based insurance distributor The Baldwin Group.
  2. Shareholders are due $32.50 a share in Baldwin's Sept. 14 agreement to be taken private by an entity formed by Sequence Holdings and DFO Management, the Dell family's investment office.
  3. For advisors studying the rollover, eligible employees can exchange part of their holdings for a minority stake in a company with no fixed exit timetable.

At least five shareholder law firms are examining whether The Baldwin Group's board breached its fiduciary duties in agreeing to a $7.7 billion sale. The buyer is backed by Michael Dell's family office, and the seller is the Tampa-based insurance distributor The Baldwin Group. Los Angeles-based Schall, Brown & Schwartz announced its review on Oct. 9, the latest of the inquiries.

Shareholders are due $32.50 a share in Baldwin's Sept. 14 agreement to be taken private by an entity formed by Sequence Holdings and DFO Management, the Dell family's investment office. The all-cash deal puts about $4.6 billion on Baldwin's equity and includes about $3.1 billion of net debt. Baldwin said the price is about an 88% premium to the unaffected close on June 17, the day before reports that the company was weighing a take-private. Closing is expected in the first quarter of 2027, subject to shareholder and regulatory approval.

For advisors studying the rollover, eligible employees can exchange part of their holdings for a minority stake in a company with no fixed exit timetable. The reporting on the transaction does not describe redemption or transfer terms for the rolled stake. DFO invests the Dell family's capital without a fixed fund life or exit timetable. Sequence is a New York-based permanent holding company that buys established service businesses and uses technology to rebuild their operations. Insurance Business America, which reported the law firm inquiries, said that profile separates the buyer from private equity sponsors behind other large brokerages and that the Dell-led group beat several large private equity firms to the deal.

Law firms test $32.50 against $36 targets

Halper Sadeh opened an inquiry on Sept. 14, the day the deal was announced. Bronstein, Gewirtz & Grossman and Monteverde & Associates announced similar investigations, and Philadelphia-based Kaskela Law is examining whether $32.50 a share is adequate or whether officers or directors breached their duties or violated securities laws. Kaskela said that while the deal was being negotiated, numerous analysts held price targets at or above $36. No lawsuit has been filed against Baldwin's board, and none of the firms has made specific allegations of wrongdoing.

Eligible Baldwin employees who hold equity can roll part of their holdings into the private company, keeping a significant minority stake alongside the buyers. Baldwin has said its vision and strategy are not changing, but that the pace of its investment in talent and technology will.

The shareholder vote is the next gate, with closing expected in the first quarter of 2027. That vote will test the $32.50 the board accepted against the $36-and-above targets analysts carried while the deal was negotiated. The rollover terms are the other item that matters to anyone studying how a stake behaves under an owner with no fund life: they will set what an employee can do with the minority position once the company is private.
