DigitalBridge and SoftBank close $3.1 billion deal

Harrison Street agrees to buy a majority of Vicinity Energy at a $2.92 billion enterprise value, while four of the five announced deals name an energy or clean-power counterparty.

At a glance

  1. Harrison Street's agreement to buy a majority of Vicinity Energy from Antin Infrastructure Partners, at a $2.92 billion enterprise value, is the second, and the next largest price below them is $150 million, about a twentieth of the Vicinity figure.
  2. Vicinity is a district energy platform serving more than 700 customers across 12 cities, and the $2.92 billion purchase price works out to roughly 2.7% of the more than $110 billion Harrison Street reports in assets under management.
  3. The larger ticket is the less described one.

DigitalBridge and SoftBank closed a $3.1 billion transaction on Oct. 1, the largest price on the window's deal list. Harrison Street's agreement to buy a majority of Vicinity Energy from Antin Infrastructure Partners, at a $2.92 billion enterprise value, is the second, and the next largest price below them is $150 million, about a twentieth of the Vicinity figure.

Vicinity is a district energy platform serving more than 700 customers across 12 cities, and the $2.92 billion purchase price works out to roughly 2.7% of the more than $110 billion Harrison Street reports in assets under management. The announcement carries the price, the customer count and the footprint; it says nothing about how much of the platform Antin keeps, so whether the seller retains a minority position cannot be answered from what was published.

The larger ticket is the less described one. DigitalBridge and SoftBank are named, $3.1 billion is named, and the listing stops there, with no geography, no structure and no account of the assets involved.

Every entry on this tape carries the same date, Oct. 1, so the window is a single day's book. Its price column is top-heavy and thin; its activity count is long and mostly unpriced.

Four energy counterparties, two numbers without units

The announced half of the window is where the tape stops being legible, and it leans on power. Amazon and Constellation Energy announced a deal listed at 690; Mercury and NZ Clean announced one listed at 118. Neither figure carries a unit, which means the two cannot be set against each other, against the priced tickets above them, or against anything else on the tape.

Three more announcements carried no size at all: Meta with Apex Clean Energy, Project Beehive with Valar Atomics and Oracle with Tencent. Four of those five name an energy or clean-power counterparty, with Oracle and Tencent the exception. BAM Capital's multifamily announcement, unpriced as well, is the one deal in the announced column with nothing to do with power, and it does not help the arithmetic either.

The closed side is barely more forthcoming. New 2ND Capital with Center Rock and Power Services Group, Globeleq, Hut 8, Anderson Global with Sun Capital, Riverside with Lavaca Plaza and JLL Capital Markets, and Ibex all closed without a price in the listing, so none can be ranked against the two tickets at the top or against each other.

Where the window does price below the top, it prices property and lending. Brennan Investment Group's closing with JLL Capital Markets and Barings was $150 million, Morgan Stanley Real Estate Investing's with KLA Corp. and JLL Capital Markets was $84.1 million, and Capodagli Property Company's with SCALE Lending was $67.5 million. Vintage South Development's closing with LBX Investments came in at $54.3 million and Chambers Reserve's with CBRE at $53 million, which puts the group at roughly $409 million together, about 14% of the Vicinity price.

The wealth-management tape inside the same window behaves the same way: plans disclosed, prices withheld. Nuveen completed its purchase of Schroders without disclosing what it paid or what it expects to save; the combination is reported at $2.6 trillion in assets, with the two kept separate for 12 to 18 months. Hightower agreed to buy $752 million Sandy Cove for its W-2 channel, a deal that would lift Hightower Signature Wealth past $40 billion and mark the channel's third external acquisition this year. Wealth Enhancement agreed to buy RWA Wealth Partners, a $22.46 billion Boston RIA, in a transaction expected to close in the fourth quarter that the buyer says would be its largest to date and would take it past $187.1 billion in client advisory, trust and brokerage assets. Merchant's $255.9 million stake in Ironbark, a $97 billion Australian wealth firm, is its largest investment outside the United States.

Priced against announced, the window splits in two. At the top, two transactions worth roughly $6 billion between them, one closed and one agreed, account for nearly all the dollars the tape names, and the deals beneath them in the $50 million to $150 million range are property and lending. The announced column supplies the activity count and almost none of the money, which may say more about disclosure habits than about where capital is going.

The check worth running next is narrow and arithmetic. If the 690 and the 118 acquire units, the announced column gains a denominator it currently lacks, and if the unpriced closings come back with figures the middle of the tape fills in. The two numerals to watch are 690 and 118, and whether either arrives with a unit attached.
