ESMA issues impact and transition claim guidance for funds, bonds and benchmark providers

The regulator wants claims backed by explanations of objectives, implementation and measurable outcomes as EU policymakers review SFDR.

At a glance

  1. The guidance addresses how asset managers, bond issuers and benchmark providers communicate environmental and social ambitions to investors, and it arrives as European policymakers review the Sustainable Finance Disclosure Regulation.
  2. ESMA found that market participants interpret positive impact differently, with considerable variation in the ambition behind their claims.
  3. ESMA encourages financial institutions to explain three elements: the positive difference they intend to make, the mechanisms supporting that impact and the methods used to measure results.

ESMA published two thematic notes covering positive impact investing and climate transition claims, ESG News reported. The guidance addresses how asset managers, bond issuers and benchmark providers communicate environmental and social ambitions to investors, and it arrives as European policymakers review the Sustainable Finance Disclosure Regulation.

ESMA found that market participants interpret positive impact differently, with considerable variation in the ambition behind their claims. Some investment products may seek measurable environmental improvements, while others pursue broader sustainability objectives. The regulator says those distinctions become difficult for investors to assess when marketing materials lack sufficient detail.

Transition claims and uncertain outcomes

ESMA encourages financial institutions to explain three elements: the positive difference they intend to make, the mechanisms supporting that impact and the methods used to measure results. The approach aims to help investors distinguish between products that finance sustainable activities and those seeking to demonstrate additional positive outcomes. For asset managers, that places greater importance on connecting investment strategies with credible impact measurement, and it raises expectations around how sustainability objectives are presented in fund documentation, promotional materials and investor communications.

The second note covers climate transition claims across investment funds, bonds and financial benchmarks. Unlike claims about historical performance, transition commitments frequently depend on future actions and uncertain outcomes. Companies and investment products may announce decarbonisation ambitions without fully explaining the assumptions, dependencies or implementation challenges involved. ESMA identifies those uncertainties as important considerations for investors evaluating transition-related products.
