Neinor agrees to sell €110 million land portfolio to Orion joint venture

Orion, already Neinor's largest shareholder, would own 90 percent of the venture, with Neinor keeping 10 percent and continuing to manage the portfolio.

At a glance

  1. Orion is to own 90 percent of the venture; Neinor retains a 10 percent interest and will continue to manage the portfolio.
  2. Orion's position in the builder predates this deal, and the venture converts part of an equity holding in the company into direct ownership of specific assets — a different kind of exposure, priced asset by asset rather than through the share register.
  3. The transaction lifts Neinor's signed asset sales to €260 million ($293 million) year to date, part of what the company describes as an accelerated asset rotation program.

Neinor Homes has agreed to sell a €110 million ($124 million) land portfolio to a new joint venture with Orion Capital Managers, its largest shareholder, IREI reported. Orion is to own 90 percent of the venture; Neinor retains a 10 percent interest and will continue to manage the portfolio. The assets are parcels not yet under development and not scheduled for delivery in the coming years, which is the part of a homebuilder's land bank that ties up capital without producing completions on any near-term schedule. Under the agreement most of that wait passes to the majority owner, while Neinor's retained tenth preserves a claim on whatever the ground eventually becomes.

Both sides of the arrangement are already linked. Orion's position in the builder predates this deal, and the venture converts part of an equity holding in the company into direct ownership of specific assets — a different kind of exposure, priced asset by asset rather than through the share register.

The transaction lifts Neinor's signed asset sales to €260 million ($293 million) year to date, part of what the company describes as an accelerated asset rotation program. Neinor says those sales were completed at a 17 percent premium to gross asset value and generated a 42 percent gross margin. A builder reporting a premium to gross asset value on land is reporting that the parcels were carried below the price buyers agreed to pay. Up to €100 million ($113 million) of further sales are under negotiation within a €400 million ($450 million) program covering 2026 and 2027. The coverage does not say how the year-to-date total counts against that program, so the distance left to run is unresolved.

Orion on both sides of the trade

Orion is at once Neinor's largest shareholder and, through the venture, the holder of nine-tenths of a portfolio Neinor decided to sell, which raises the question of what an unconnected buyer would pay for the same ground. The coverage does not say whether other parties bid or how the price was set. What the structure does show is that Neinor keeps the management role and a sliver of the equity in land it has just decided not to develop soon — operational involvement without the full financing burden.

For a builder working through a multi-year disposal program, the sequence matters as much as the pricing. Undeveloped ground, undeliverable on any near-term schedule, looks like the easiest parcel to sell and the least painful to part with; the stiffer tests come when a program reaches land scheduled for delivery, where a sale trades tomorrow's completions for today's cash. The next marker is whether the €100 million of talks turn into signed sales, and on what terms.
