Nuveen buys a state template, not a spread

The $23.2 million close is New Hampshire's first C-PACE deal, and the precedent it sets for the next 381 units is the part that matters.

At a glance

  1. The assessment runs through the New Hampshire Business Finance Authority under the state's newly launched C-PACER program and sits beneath a $31.5 million senior construction loan from Silver Heights Capital; the two pieces sum to $54.7 million inside the $55 million package Kay Finance arranged.
  2. The sponsor, BRX Development, is a New England developer, and the assessment funds energy and water efficiency work along with flood and stormwater management across a 26-acre site at 174 Hanover Street, the historic former Densmore Brickyard.
  3. An assessment that clears out of condo closings leaves the schedule resting on absorption rather than the sponsor's balance sheet, which is a different underwriting question from a rental assessment, where the obligation stays with the property.

Nuveen Green Capital has closed $23.2 million in C-PACE financing for the ground-up development of The Brickyard in Lebanon, N.H., a transaction Connect CRE reports as the state's first completed C-PACE deal. The assessment runs through the New Hampshire Business Finance Authority under the state's newly launched C-PACER program and sits beneath a $31.5 million senior construction loan from Silver Heights Capital; the two pieces sum to $54.7 million inside the $55 million package Kay Finance arranged.

The sponsor, BRX Development, is a New England developer, and the assessment funds energy and water efficiency work along with flood and stormwater management across a 26-acre site at 174 Hanover Street, the historic former Densmore Brickyard. Phase one pairs 51 three-bedroom for-sale townhomes with a 42-unit Class A rental building, and the sponsor intends to add 381 more apartments once that first phase is finished and the townhome assessment is retired out of condo sale proceeds.

That repayment detail is the part worth pricing. An assessment that clears out of condo closings leaves the schedule resting on absorption rather than the sponsor's balance sheet, which is a different underwriting question from a rental assessment, where the obligation stays with the property. It also explains why a bank stayed in at the senior position here: C-PACE stood alone on the $172.5 million Shoma Bay tower with no bank debt in the stack, whereas in Lebanon the assessment carries the resilience scope a construction lender would just as soon not price. Same product, two jobs.

Nuveen's appetite for firsts is established: it closed the $281 million Winthrop Center loan that set New England's record in August, and its fourth fund closed at $1 billion in late August with cumulative commitments past $3 billion, which this publication argued is the bank retreat's replacement capital. New Hampshire fits that thesis with a wrinkle: the bank did not retreat here, it took the senior piece and let the assessment supply the leverage over it, which is the more durable version of the trade because it prices C-PACE as a layer in a conventional stack rather than as a lender of last resort.

At $23.2 million the deal is a rounding error next to the Boston loan, and Nuveen closed it anyway, which suggests the firm is buying first-mover position in New Hampshire rather than yield. Whoever writes the first documents, appraisal standards and counsel relationships in a new state program sets the template every later borrower in that state works from, and a $23.2 million deal is a cheap way to own that position. Whether the 381 apartments arrive with a second assessment attached or with a construction loan is the number to watch in New Hampshire.
