S&P: Custodian referrals supplied about half of Mercer's first-half net new assets

S&P flagged referral fees as a margin drag while Mercer has refinanced $1.9 billion and Schwab plans to lift its referral minimum to $5 million.

At a glance

  1. Rating notes on leveraged wealth managers usually concern debt service, which is what makes a line about the composition of growth worth reading twice.
  2. Mercer refinanced $1.9 billion, replacing private debt with a seven-year term loan B and a $340 million revolver, and says the interest savings will fund acquisitions.
  3. Mercer has traded a private lender for a syndicated market, and it has said what the savings are for.

S&P says roughly half of Mercer Advisors' first-half 2026 net new assets came from custodian referrals, and the rating firm flagged referral fees as pressure on the firm's margins.

Rating notes on leveraged wealth managers usually concern debt service, which is what makes a line about the composition of growth worth reading twice. S&P treats the mix as the margin issue: half the half-year's net new assets arrived through custodian introductions. My reading of "referral-fee pressure" is a cost that runs with the assets rather than one settled once — inference from the framing, not a structure the note as summarized sets out. It gives the share, and no fee rate or dollar figure, so the drag cannot be sized from the material.

Mercer refinanced $1.9 billion, replacing private debt with a seven-year term loan B and a $340 million revolver, and says the interest savings will fund acquisitions.

It is the firm's first syndicated loan, which makes the refinancing a change in kind as well as in price. Mercer has traded a private lender for a syndicated market, and it has said what the savings are for.

On the other side of the same trade, Schwab plans to lift its referral minimum to $5 million. Read plainly, a referral minimum is a threshold on the relationship size that qualifies for an introduction, which puts a custodian in the position of setting terms on a channel that produced roughly half of one large RIA's first-half growth.

Whether a recurring referral fee costs less per dollar of client assets than buying that dollar through an acquisition is the question the material cannot answer. It contains no referral fee rate for Mercer and no multiple for any deal the firm has done.

A single S&P figure covering one firm over one half-year describes Mercer's cost of growth, not the industry's.

Schwab's side of the ledger

Schwab Advisor Services added $120.1 billion in third-quarter net new assets, about 63% of the parent company's record $190.4 billion by arithmetic on the two figures. Advisor assets stand at $5.85 trillion, and the unit's intake was up 47%.

Average margin loan balances tied to RIA long-short strategies were $51.4 billion in the quarter, against $2.8 billion a year earlier — roughly 18 times the year-earlier average. Those are balances rather than revenue, and they sit in the same unit that sets referral terms.

Mercer's stated use for the refinancing savings points one direction: acquisitions. The loan is $1.9 billion, the revolver $340 million, the term seven years. What the material does not contain is a price for the other channel.
