Volato's $500M AI merger prices Ohio power at $3.25 million a megawatt

An aviation software business buys a powered 154MW campus and a path to 480MW, betting the grid slot outweighs its $105.5 million accumulated deficit.

At a glance

  1. Alignment Engine's pitch is power first, compute second: "We aren't starting with a greenfield site and a plan to find power.
  2. At $500 million for the campus's current capacity, the transaction prices each megawatt at roughly $3.25 million; build it to its full 480MW and the implied cost drops to about $1.04 million.
  3. The tension lies in Volato's balance sheet, where an August 10 quarterly report states there is "substantial doubt" about the company's ability to "continue as a going concern" after a net loss of about $4.7 million in the first half of 2026 and an accumulated deficit of roughly $105.5 million.

Volato Group has entered a definitive merger agreement with AI infrastructure provider Alignment Engine, Data Center Dynamics reported, a transaction that values the target at $500 million and converts an aviation software business into an AI infrastructure, HPC, and data center development operation built around Alignment Engine's Ohio campus. That campus carries 154MW of capacity today and a near-term path to 480MW, along with GPU compute, networking hardware, and proprietary technology. Alignment Engine's pitch is power first, compute second: "We aren't starting with a greenfield site and a plan to find power. We have a powered industrial campus and 154MW available today with a path to 480MW of capacity," said chief executive Chris Ensey. Volato's chief executive, Matt Liotta, framed the deal as the output of a deliberate search: "We have spent the intervening months working rather than talking. Alignment Engine is the result."

The $3.25 million megawatt

At $500 million for the campus's current capacity, the transaction prices each megawatt at roughly $3.25 million; build it to its full 480MW and the implied cost drops to about $1.04 million. That is an unusual disclosed pricing point for power-ready industrial land, the asset class this publication has argued now outranks the hardware attached to it. The grid slot comes with a structure that can generate revenue immediately, which is why the existing capacity anchors the valuation rather than the GPU fleet.

The tension lies in Volato's balance sheet, where an August 10 quarterly report states there is "substantial doubt" about the company's ability to "continue as a going concern" after a net loss of about $4.7 million in the first half of 2026 and an accumulated deficit of roughly $105.5 million. Volato intends to fund operations with debt, equity, and revenue, but that profile cannot self-finance a 480MW expansion—the merger itself is the capital raise.

Alignment Engine, founded in 2021, is committed to AMD hardware across the stack, with plans to deploy AMD's Helios rackscale solution and Instinct MI455X GPUs in Ohio in 2027 and a prior collaboration with AMD and the University of Southern California's Information Sciences Institute to train the MEGALODON large language model; its proprietary NeuralSync DPU is pitched as a way to boost GPU performance. That AMD alignment differentiates it in a market where Nvidia's CUDA ecosystem is the default, and it ties the campus's compute layer to a 2027 delivery checkpoint.

The structure resembles a recent deal in which Healthy Choices Wellness Corp absorbed Host Digital Infrastructure as a subsidiary in a reverse merger, and two similar transactions in quick succession suggest powered data center developers are finding public-market entry through operating companies rather than IPOs. The sample is small, but the path is repeatable: a listed company with a going-concern warning can become the vehicle for a power-bearing infrastructure asset.

Hyperscaler-anchored data centers command infrastructure pricing because their cash flows are contracted. Nothing in the announcement identifies an anchor tenant for Alignment Engine's Ohio campus, which puts the 480MW expansion in the merchant tier, where capital costs more and offtake must be proven. The existing capacity is the bridge; the next 326MW is the test.

The merger timeline is open, with the companies saying the deal should close shortly after the definitive agreement, and the coverage does not say what becomes of Volato's existing aviation software operations or how its obligations are handled. The follow-on financing is the item to watch. If Volato closes and funds the expansion, the effective cost of about $1.04 million per megawatt makes this a compelling entry into the power-constrained data center market; that "if" is the whole trade, and the going-concern warning makes it a live one.
